Sales Agreement
1. Services Provided
Creative Web Design Lab ("Company") agrees to provide the following services to the Client:
Custom Website Design: A fully customized website tailored for service providers ("Website")
Website Hosting: Reliable monthly hosting with SSL certificate and domain management.
Custom Domain: Complimentary custom domain registration (e.g., yourname.com) for 30 days, then included for length of service term.
Unlimited Edits: Unlimited revisions to design, content, images, and layout for length of service term.
SEO Optimization: Basic on-page SEO setup.
30-Day Risk-Free Preview: Client receives full website preview with live domain before any payment obligation.
2. Client Responsibilities
The Client agrees to:
Provide Accurate Information: Supply all content (text, images, logos, testimonials, service details). Company is not responsible for inaccuracies in Client-provided content.
Approve Edits: Review and approve all design, content, images, and layout changes in writing.
Submit Edits in Writing: Provide all revision requests via email or written form.
Timely Response: Allow Company 7-14 business days to implement approved edits.
Google Business Integration: Links to the Website from the Client's Google Business Profile and other profiles in various search directories are the responsibility of the Client to implement and maintain.
3. Payment Terms
No Upfront Fees: Client pays $0 during 30-day preview period.
Annual Hosting: $60/month begins Day 31 if Client approves website.
Renewal Terms: Renewal at the rate of $60/month is allowed for a total of two (2) additional years.
Cancellation: Client may cancel anytime with no fees, however no refunds will be issued.
Late Fees: Late fees are not assessed. Your domain will display "404: Error" if payment is not made in time for renewal (1 year service term).
Payment Method: Check, money order, or automatic credit card billing.
4. Timeline
Week 1: Client provides content; initial design mockup delivered.
Week 2-4: Unlimited revisions (7-14 business days per round).
Day 30: Final approval deadline for risk-free preview.
Ongoing: Unlimited edits continue post-launch (7-14 business days turnaround).
5. Limitation of Liability
IMPORTANT DISCLAIMER:
Creative Web Design Lab shall not be held liable for:
Any negative feedback, reviews, or adverse effects resulting from Client's services promoted via the website.
Loss of business, reduced bookings, or negative customer reactions linked through Google Business Profile or website.
Indirect damages, lost profits, or consequential damages.
The website serves as a digital showcase only. Company makes no guarantees regarding Client's business performance, review ratings, or customer satisfaction.
6. Ownership & Rights
Pre-Approval: Company retains ownership during 30-day preview.
Post-Approval: Client receives full ownership of design and content.
Domain: Company retains ownership of domain, no transfers are available.
7. Termination
By Client: 30-day written notice; no refunds.
By Company: Immediate termination for non-payment (45 days overdue).
Refund Policy: No refunds after activation.
8. Warranties & Disclaimers
Service Warranty: 99.9% uptime; daily backups included.
AS-IS Disclaimer: Website provided "as is." Company not liable for third-party services (e.g., search directories).
Force Majeure: Delays due to unforeseen events excused.
9. Governing Law
This Agreement is governed by the laws of Texas. Disputes resolved in Harris County, Texas courts.
10. Entire Agreement
This document constitutes the complete agreement between parties.
